Terms of Service
Effective date: 1 July 2026
1. The Service
Mobilio provides a cloud-based fleet and rental management platform designed for car rental operators. The Service includes booking management, vehicle tracking, invoicing, client management, reporting, and related features accessible through the web application at mobilio.cloud.
Features vary by subscription tier. We reserve the right to modify, discontinue, or limit features at any time, with reasonable notice to active subscribers.
2. Account Registration and Access
Access to the Service is granted by Mobilio upon completion of onboarding. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must notify us immediately at legal@mobilio.cloud if you suspect any unauthorised access to your account. Mobilio will not be liable for any loss arising from your failure to safeguard your credentials.
You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of your business. By using the Service, you represent that these conditions are met.
3. Subscription, Billing and Fees
Use of the Service is subject to the subscription plan selected during onboarding. Subscription fees are charged as agreed and are invoiced in Mauritian Rupees (MUR) or as otherwise specified.
All fees are non-refundable except where required by the Consumer Protection (Price and Supplies Control) Act 1998 or other applicable Mauritian law. We reserve the right to revise pricing with at least 30 days' written notice.
Failure to pay outstanding fees may result in suspension or termination of your account. We will attempt to contact you before taking such action.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service for any illegal activity under Mauritian law or applicable international law;
- Attempt to gain unauthorised access to any part of the Service or its infrastructure;
- Upload, transmit, or store any content that is unlawful, defamatory, or infringes the intellectual property rights of third parties;
- Reverse engineer, decompile, or disassemble the Service or any part thereof;
- Resell, sublicense, or transfer access to the Service to third parties without our prior written consent;
- Use the Service in a manner that could damage, disable, or impair the platform or interfere with other customers' use of the Service.
5. Data and Privacy
The collection and processing of personal data through the Service is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to such processing as described therein.
As a Customer, you are the data controller for the personal data of your clients that you enter into the Service. Mobilio acts as a data processor on your behalf. You are responsible for ensuring you have a lawful basis for processing your clients' personal data under the Data Protection Act 2017 (Mauritius).
You must not enter into the Service any special categories of personal data (as defined in the Data Protection Act 2017) or any data that you are not lawfully permitted to process.
Our commitments as processor. When acting as your processor, Mobilio will: (a) process your clients' personal data only to provide the Service and on your documented instructions; (b) keep that data confidential and apply appropriate technical and organisational security measures; (c) engage sub-processors (including Supabase for hosting/database, Resend for email, and Meta/WhatsApp for messaging) under terms consistent with these commitments, and inform you of material changes; (d) assist you, so far as reasonably possible, in responding to data-subject requests and in meeting your breach-notification obligations; (e) notify you without undue delay on becoming aware of a personal-data breach affecting your data; and (f) on termination, return or delete your clients' personal data in line with the retention period in clause 10. Some processing and storage occurs outside Mauritius; such transfers are made under appropriate safeguards as described in the Privacy Policy.
6. Intellectual Property
All intellectual property rights in the Service (including the software, design, trademarks, and content) are owned by or licensed to Mobilio. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to access and use it during your active subscription.
You retain all rights to the data you input into the Service ("Customer Data"). You grant Mobilio a non-exclusive, royalty-free licence to process Customer Data solely to the extent necessary to provide and improve the Service.
7. Confidentiality
Each party agrees to keep the other party's confidential information ("Confidential Information") secret and not to disclose it to any third party without prior written consent, except as required by law or to advisors bound by equivalent confidentiality obligations.
Confidential Information does not include information that is publicly available through no breach of these Terms, was independently developed without reference to the other party's information, or was lawfully received from a third party without restriction.
8. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available." To the maximum extent permitted by Mauritian law, Mobilio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Mobilio does not warrant that the Service will be uninterrupted, error-free, or free of viruses. You are responsible for maintaining appropriate backups of your data.
To the maximum extent permitted by law, Mobilio's total cumulative liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall Mobilio be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless Mobilio and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Service in violation of any applicable law; or (c) any third-party claims arising from your Customer Data.
10. Suspension and Termination
Mobilio may suspend or terminate your access to the Service immediately and without notice if you breach these Terms or if your use poses a risk to the Service or other customers.
You may terminate your subscription at any time by contacting us at legal@mobilio.cloud. Upon termination, your access to the Service will cease and your data will be retained for 30 days before being permanently deleted, unless a shorter or longer period is required by law.
11. Modifications to Terms
We may update these Terms at any time. We will notify active subscribers by email at least 14 days before material changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Mauritius. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Mauritius.
Before initiating formal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days.
13. Force Majeure
Mobilio shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet infrastructure failures, or pandemic-related disruptions.
14. General
These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Mobilio with respect to the Service and supersede all prior agreements.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Mobilio's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
